IronHold Escrow LLC
1. Agreement to Terms
By accessing or using IronHold Escrow at ironholdescrow.com, you agree to these Terms. These Terms constitute a legally binding agreement between you and IronHold Escrow LLC, a Texas limited liability company.
2. Description of Services
IronHold is an online escrow and payment platform facilitating transactions between homeowners (“Clients”) and home service contractors (“Contractors”). IronHold acts as a neutral third-party payment intermediary. IronHold is NOT a licensed escrow company, general contractor, or employer of any Contractor.
3. Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts to use IronHold.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. IronHold may suspend or terminate accounts that violate these Terms.
5. The Escrow Process
For Clients (Homeowners)
Post job → Deposit payment → Contractor works → Confirm completion → Funds released
For Contractors
Accept job → Work performed → Client confirms → Payment released
Funds are released only upon client confirmation or resolution of a dispute.
6. Fees
A platform fee applies to each completed transaction and will be disclosed at the time of job posting. Fees are non-refundable once a transaction has been completed.
7. Payment Processing
All payments are processed through Stripe, Inc. By using IronHold, you also agree to the Stripe Terms of Service. IronHold does not store payment card information.
8. Cancellations and Refunds
- Jobs cancelled before work begins with mutual agreement: refund issued to Client.
- Disputes are governed by Section 9 below.
- Platform fees are non-refundable once a transaction has been initiated.
9. Dispute Resolution
- Either party may open a dispute through the platform.
- IronHold will review evidence submitted by both parties.
- IronHold’s decision regarding fund release is final.
- IronHold is not liable for the quality of contractor work.
Legal disputes not resolved on the platform shall be settled by binding arbitration in Denton County, Texas, under the rules of the American Arbitration Association (AAA). Each party waives the right to participate in class action litigation.
10. Prohibited Conduct
Users may not:
- Use the platform for any unlawful purpose
- Submit false or misleading information
- Engage in fraud or deceptive practices
- Circumvent the escrow process to arrange direct payments
- Harass, threaten, or abuse other users
- Attempt unauthorized access to any part of the platform
11. Contractor Verification
IronHold may perform background or license checks on Contractors but does not guarantee the accuracy or completeness of any verification. Users are responsible for conducting their own due diligence.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRONHOLD ESCROW LLC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. IRONHOLD’S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE FEES YOU PAID TO IRONHOLD IN THE THREE MONTHS PRECEDING THE CLAIM.
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
14. Governing Law
These Terms are governed by the laws of the State of Texas. Any legal proceedings shall be brought in Denton County, Texas.
15. Changes to Terms
IronHold may modify these Terms at any time with reasonable notice. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.
